Terms of Service

These Terms of Service ("Terms") govern access to and use of HIPAA TrustGuard (the "Service"), a HIPAA workforce training and self-assessment platform operated by MeremAI LLC ("MeremAI," "we," "us," or "our"). By creating an account or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.
1. The Service and Eligibility
HIPAA TrustGuard provides self-paced HIPAA awareness training with knowledge checks, a shareable completion certificate with public verification, and — for organizations — team training tracking, a security self-audit questionnaire, and an embeddable trust badge with a public verification page. HIPAA TrustGuard is not a law firm, an accredited certification body, an auditor, or the U.S. Department of Health and Human Services (HHS) or its Office for Civil Rights (OCR). Completing training, the self-audit, or receiving a trust badge does not constitute legal advice, an official HIPAA certification, or a guarantee of regulatory compliance. Please note that HIPAA TrustGuard is a technology provider, not a licensed CPA or legal firm.
You must be at least 18 years old to use the Service.
2. Accounts and Organizations
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. An organization owner or admin may invite, manage, and remove members of their organization's workspace. Deleting your own account is not permitted while you are the sole owner of an organization — you must transfer ownership or delete the organization first, so that an organization is never left without an owner.
3. Training, Quizzes, and Certificates
Training modules and knowledge checks are self-paced. A certificate is issued when you pass every knowledge check in a module sequence, and is valid for one year from issuance. Certificates carry a unique credential ID that can be looked up on a public verification page by anyone, without an account — treat your credential ID as public information, not a secret. A certificate reflects completion of our training content; it does not itself constitute a professional license, accreditation, or a determination that you or your organization are in compliance with HIPAA or any other law.
4. LinkedIn Sharing
The Service can pre-fill a LinkedIn certification form with your credential ID, issue date, and expiration so you can add it to your LinkedIn profile. Posting to LinkedIn is your action, governed by LinkedIn's own terms — we do not post on your behalf.
5. The Security Self-Audit and Trust Badge
The security self-audit is a self-reported questionnaire completed by your organization; we do not independently verify or audit your answers. A trust badge and its "Statement of Compliance" reflect that your organization completed workforce training and the self-audit through the Service — not an independent audit finding, and not a certification issued by HHS, OCR, or any other regulator. Anyone with a link to your organization's badge page can view it; you are responsible for the accuracy of the information your organization provides.
6. Subscriptions and Billing
Individual training is free. Organization accounts may subscribe to a paid annual plan for team tracking, the self-audit, and the trust badge; current pricing is shown in the product before you subscribe. Subscriptions renew annually unless cancelled before the renewal date. We may change pricing for future billing periods with reasonable notice.
7. Your Content
You retain ownership of the information you or your organization submit to the Service, including profile details, self-audit answers, and uploaded documents. You are responsible for the accuracy of information you submit and for ensuring you have the right to submit any organization or team data you provide on others' behalf.
8. Communications
By creating an account, you agree to receive transactional and account-related emails from us, such as invitations, security notices, and renewal reminders.
9. Prohibited Uses
You agree not to: (a) violate any law or regulation; (b) misrepresent training completion, self-audit answers, or a trust badge as an independent certification or audit finding; (c) share account credentials or attempt to gain unauthorized access to another account or organization's workspace; (d) scrape, reverse-engineer, or use automated means to access the Service outside supported public verification pages; or (e) interfere with the Service's operation or security.
10. Disclaimers
THE SERVICE IS PROVIDED "AS-IS" AND "AS-AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. TRAINING CONTENT, THE SELF-AUDIT, AND THE TRUST BADGE DO NOT GUARANTEE REGULATORY COMPLIANCE OR ANY PARTICULAR OUTCOME IN AN AUDIT, INVESTIGATION, OR LEGAL PROCEEDING.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEREMAI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED DOLLARS (USD).
12. Indemnification
You agree to defend, indemnify, and hold harmless MeremAI from claims, damages, and expenses arising from your content, your violation of these Terms, or your violation of any law or third-party right.
13. Term, Suspension, and Termination
You may stop using the Service and delete your account at any time from account settings. We may suspend or terminate access for violation of these Terms or as needed to protect the Service or other users.
14. Dispute Resolution
Any dispute arising from these Terms or the Service will be resolved through binding, individual arbitration, and you waive any right to participate in a class action. These Terms are governed by the laws of the State of Michigan, and any proceedings not subject to arbitration will be brought in the state or federal courts located in Ingham County, Michigan.
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will post the updated Terms with a new "Last Updated" date. Continued use of the Service after changes take effect constitutes acceptance.
